1. Agreement to these terms

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services offered by Clip Hero (“we,” “us,” or “our”) (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least the age of majority in your jurisdiction to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

3. Accounts and registration

To access certain features, you may need to create an account. You agree to provide accurate, current information and to keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly if you suspect unauthorized access.

4. The Service

Clip Hero provides tools to create, edit, and process video content, including features that may use artificial intelligence (AI) for transcription, analysis, scene selection, script generation, voice synthesis, rendering, and related functions. Features may change over time.

We do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.

5. Subscription and billing

Paid plans or paid features may be processed through our payment provider (for example, Stripe). By purchasing a subscription or paid add-on, you authorize us and our payment partners to charge your payment method on a recurring and/or one-time basis as described at checkout.

  • Fees. Prices, taxes, and billing cycles are shown before you confirm and may change with notice in accordance with applicable law.
  • Renewals. Subscriptions renew automatically unless cancelled through your account or billing portal before the renewal date.
  • Refunds. Unless required by law or expressly stated at purchase, fees are non-refundable. We may offer credits or refunds at our discretion.

6. Acceptable use

You agree not to:

  • Violate any law or infringe others’ intellectual property, privacy, or publicity rights;
  • Upload, process, or distribute unlawful, defamatory, harassing, hateful, sexually exploitative, or otherwise harmful content;
  • Attempt to probe, scan, or test the vulnerability of the Service, or bypass authentication or access controls;
  • Reverse engineer, decompile, or disassemble the Service except where permitted by law;
  • Use the Service to build a competing product or to scrape or harvest data at scale without permission;
  • Send spam or unsolicited communications, or interfere with other users’ use of the Service;
  • Upload malware or content designed to disrupt networks or systems.

We may suspend or terminate access for conduct that we reasonably believe violates these Terms or puts the Service or others at risk.

7. Your content and license to us

You retain ownership of content you upload or submit (“User Content”). You grant Clip Hero a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and create derivative works of User Content solely to operate, improve, and provide the Service to you—including encoding, transcoding, AI-assisted analysis, rendering, and delivery to you or your designated recipients.

You represent that you have all rights necessary to grant this license and that your User Content does not violate these Terms or applicable law.

8. AI outputs and third-party models

Certain features use third-party AI or machine-learning services. Outputs may be inaccurate, incomplete, or inappropriate for your use case. You are responsible for reviewing outputs before publication or distribution.

We do not warrant that AI-generated outputs are non-infringing or suitable for any particular purpose. You assume all risks associated with use of AI outputs.

9. Intellectual property

The Service, including software, graphics, logos, and branding, is owned by Clip Hero or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

10. Third-party services

The Service may integrate with or rely on third parties (for example, authentication, hosting, storage, payment processing, speech-to-text, AI providers, and video platforms). Your use of those services may be subject to their terms and privacy policies. We are not responsible for third-party services or content.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIP HERO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) FIFTY U.S. DOLLARS (USD $50), EXCEPT WHERE PROHIBITED BY LAW.

13. Indemnity

You will defend, indemnify, and hold harmless Clip Hero and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Service, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms or if we are required to do so by law. Provisions that by their nature should survive will survive termination, including ownership, license grants (where applicable to residual copies), disclaimers, indemnity, and limitations of liability.

15. Governing law and disputes

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules. You agree that exclusive jurisdiction for disputes related to these Terms lies in the state and federal courts located in Delaware, except where prohibited by law.

16. Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms and update the “Last updated” date. If changes are material, we will provide additional notice as appropriate (for example, by email or in-product notice). Continued use after the effective date constitutes acceptance of the revised Terms.
